CONSTITUTION OF THE
ARTICLE I: NAME PURPOSE, AND MEMBERSHIP
§101:
THE NAME of this organization shall be The George Washington University Corporate and Business Law Society, hereinafter referred to as “CBLS.”
§102:
IT SHALL BE
THE PURPOSE of CBLS to promote awareness of corporate and business related
legal issues within the law school community and to provide members with
opportunities to develop relationships in the legal community.
§103:
THIS CONSTITUTION will be constructed in compliance with the provisions and spirit of the University Policy on Equal Opportunity, the University Guide to Student Rights and Responsibilities, and the Student Bar Association Constitution and Bylaws.
ARTICLE II: CBLS OFFICERS
COMPOSITION
§201:
ALL LEGISLATIVE POWERS herein granted shall be vested in an assembly of CBLS, hereinafter referred to as the “Officers.”
§202:
THE OFFICERS SHALL BE COMPOSED of the President, Vice-President, Treasurer, Programming Director, Outreach Director, and Publicity Director.
The President will organize and manage meetings, schedule and plan events, act as liaison to the SBA, and set the direction of CBLS.
The Vice-President will assume the presidential duties in the absence of the President.
The Treasurer will manage CBLS funds and established a budget. The Treasurer will act as liaison for the SBA regarding all budget matters.
The
Programming Director will introduce event ideas and supervise the planning and the
organization of CBLS events. The
Programming Director will also, in conjunction with the Outreach Director and
the Publicity Director, plan events directed specifically towards attracting
new members.
The Outreach Director will manage new member recruitment, in conjunction with the Publicity Director and the Programming Director, act as liaison to alumni, and develop relationships with practitioners.
The Publicity Director will promote CBLS events, implement strategies to make CBLS known throughout the legal community, and manage new member recruitment in conjunction with the Outreach Director and the Programming Director.
MEETINGS
§211
THE OFFICERS SHALL CONVENE in regular session at least once a month during the regular academic year, except during those months when exams are being administered. Regular and special meetings of the Officers shall be held in accordance with the governing instruments.
§212
A MAJORITY of the voting members of the officers shall constitute a quorum. All actions shall be taken by a majority vote of the members present and voting.
§213
ALL OFFICERS shall be entitled to one (1) vote. No officer shall cast more than one vote under any circumstances.
ARTICLE III: ELECTIONS
§301:
A GENERAL ELECTION shall be held no later than the second Thursday in April.
§302:
DURING THIS ELECTION, the current members of CBLS shall elect the President, Vice-President, Treasurer, Programming Director, Outreach Director, and Publicity Director. The terms of the elected Officers shall commence no later than the first week in May. The current Officers shall serve until their successors have been duly installed.
ARTICLE IV: VACANCIES AND REMOVAL FROM OFFICE

§411:
SHOULD ANY OFFICER fail to attend to his or her duties as outlined in the governing instruments or violate the legal or ethical standards imposed by university regulations, the Board may remove that individual from office.
§412:
THE PRESIDENT may recommend the removal of any member of the Board if that member has at least three (3) or more unexcused absences from CBLS meetings during that member’s term of office.
§413:
Disciplinary sessions shall be closed and take place no earlier than five (5) days and not later than fourteen (14) days after the member in question has been given notice of the hearing. Disciplinary sessions shall be held in accordance with the governing instruments.
ARTICLE V: AMENDMENTS
§501:
AMENDMENTS TO THIS CONSTITUTION may be proposed by any voting Officer. Notice shall be given of any proposed amendment one week prior to its consideration. A majority vote of the Officers of CBLS shall place an amendment to a vote of the members of CBLS.
§502:
An amendment shall be ratified by an affirmative vote of two-thirds of the members voting.
ARTICLE VI: JURISDICTION
§601:
Final
interpretation of the document and all other governing instruments shall be
made by a majority vote the Officers.
